| BC Partners completes purchase of 50.8 % of Migros Türk |
Funds advised by BC Partners have completed the acquisition of 50.8 % of Migros Türk T.S.A., Turkey’s largest supermarket chain, from Koc Holding, representing a market cap of YTL3.8 billion ($3.15 billion). A tender offer for the remaining shares, which are listed on the Istanbul Stock Exchange, will be launched in due course, following formal notification of details of the tender offer to Turkey’s Capital Markets Board. Minority investors in the transaction include Turkven Private Equity, the leading private equity firm in Turkey, and DeA Capital, a private equity company listed on the Milan Stock Exchange.

Debt financing for the transaction has been provided by Turkish banks: Garanti Bank, Is Bank, Vakifbank, and AkBank.

Migros has been supported the Special Olimpics Turkey Organization in the last 4 years and raised 2000 subnormal sportsman until 2004. And again Migros has took care of caring 500 subnormal sportsman by the help of the campaign organized in the collaboration with P&G.Through the campaign ,the income going to be earned by the sales of P&G products in Migros stores will be transferred to Special Olimpics,and so,the sensitive consumers get a chance to support those special sportsman and let them have a chance to succeed despite all the barriers.

Migros Turk walks along its path with the philosophy of “Quality,is a search for perfection” and handles the conditions of Food Safety and Quality Management with great care and proved the importance given to customer satisfaction and food safety with the certifications received as ISO 9001 Quality Management System on 2005 and ISO 22000 Food Safety on 2006.
The products are in the chain of safety till they reach out to customers in Migros which has organized a press tour within in the framework of Responsible Work Application.Here are some headlines from the work done;
•Migros has generalized the Controlled Agriculture application with the infrastructure works started through the end of 2005.
•The pioneering works were started in hormone and agricultural chemicals analysis applied on all fruits and vegetables.
•The samples of every products planned to take place in sales,firstly goes through the quailty check in order to quarantee the product safety.
•Great attention is paid on keeping the cool chain solid during the processes of receiving the goods and product protection.
•The temperatures of the all cool storages are checked by the store personnel 3 times a day.
•In the process of receiving the goods,the features of products like heat,package and technique are checked and it is done by PTC machines loaded with the standard information in order to have no mistake.
•The expiration dates of the exhibited products in stores are controlled continuously.
•The infections which might happen across departments are prevented by using different colours of cleaning tissues and knive in different departments.For example,yellow knive are being used in butcher department while the red ones takes place in charcuterie.
•The maximum attention is paid for the hygiene of the materials used in anywhere the prodocts takes place.
•The department personnel uses special gloves which are changed in every 2 hours during the product preparing processes .
•The employees are given periodical tranings about the procedures going to be applied.
•Even the controls are checked;the veterinary surgeons and food engineers checks upon if the activities are implemented regularly.

Migros Turk T.A.S. integrated its ISO 9001-2000 based Quality Management System, which was gained in July 2005, with the world’s newest and most advanced Food Safety Management System Standard ISO 22000. Food Safety Management System Certificate is given by Turkish Standards Institute as a result of detailed inspections which were performed in November 2006.

Quality Systems Major Facts:
•Every process of the Migros Turk T.A.S. has been carefully analyzed, defined and managed by policies including food safety hazard analysis. This is a continuing action due to improvement of the processes.
•Good Manufacturing Practices are in place to ensure customer safety beginning from the purchase of the product at every stage of the service.
•Migros Turk T.A.S determines its suppliers with great care and supplier firms are inspected periodically by TÜBİTAK-MAM Food Science and Technology Research Institute and also products are subjected to periodic quality control analysis.
•Every new product which will be sold on store shelves is subject to preliminary quality control process
•The products which are purchased from Supplier Firms are subject to sensory, chemical, physical and microbiological quality control tests by “food engineers” before entering the Migros Turk T.A.S warehouses. The products which fail the tests are turned down.
•The products on shelves and warehouses of Migros Turk T.A.S are controlled by Veterinary Surgeons regularly to ensure the product safety.
•Migros Turk T.A.S stores are strictly under control of developed HACCP monitoring system. This is maintained by daily and weekly store management food safety checks.
•All stores are under surveillance of the Veterinary Surgeons to ensure that the system principals are fulfilled completely
•All Migros Turk T.A.S stuff are trained to ensure personal and work place hygiene, and to fulfill the requirements of the food safety system.
•Migros Turk T.A.S. perceives all customer complaints as a priceless asset to improve its quality systems. All complaints are kept in a centralized system and processed by the customer relation representatives. These representatives forward the complaints to the related management levels to obtain the adequate solution and give the necessary feedback to the customer.
